(TKS) is well aware of contemplated and current resource exploration, facility development and operations over a large area, including the District and well beyond. TKS is the only local multiple service provider of its type in the District. Attempts by other similar service providers to establish a permanent base in the District have been unsuccessful, and TKS has retained most of the business in its primary market area.
Growth/Expansion Opportunities: Experience The Company has formal service agreements with the oil and gas, coal mining, and wind energy industries, based on a long history of high quality service, professional qualifications and expertise, competitive pricing, and excellent reputation. Oil and Gas TKS has served on all processes of the industry from drilling, facility construction, and maintenance to upgrade projects in both sweet and sour gas fields. The Company holds service agreements and ISNetWorld clearances directly with industry developers and major contractors. It also has ongoing “as-and-when” service agreements within the Grizzly Valley production fields, to provide Advanced Level 3 Industrial First Aid Attendants and Mobile Treatment Centres (MTC’s). Local Coal and Mineral Development Tumbler Ridge lies within the world’s largest coking and thermal coal deposit area, which also has large surface-minable deposits of organic grade potash. TKS has served the coal mining industry during exploration, feasibility studies, infrastructure development, and production phases. The Company has submitted or anticipates developing the following service supply quotes. Local Wind Development and Construction The region including the District of Tumbler Ridge is a world-class wind energy zone, already containing three producing wind farms. New projects approved to produce over 600 megawatts of electrical power are in various stages of development within the boundaries of the District itself, and much more additional power will be produced in the surrounding area. TKS provided remote medical and safety services for construction of the most recently completed wind farm, Capital Power Corporation’s Quality Wind Project, constructed by Mortenson Construction Canada. The Company has ongoing “as-and-when” service agreements to provide Advanced Level 3 Industrial First Aid Attendants and Mobile Treatment Centres (MTC’s). TKS has submitted interest in various projects. LNG Pipelines and Coastal Cooling Facilities TKS has been actively developing connections and quotes to exploit LNG pipeline and facility opportunities. The Company has been communicating with First Nations and other stakeholder communities along proposed pipeline corridors, as well as industry developers’ corporate managers and procurement officers. TKS has submitted or anticipates developing service supply quotes. The following major developments, if approved and financed, are anticipated to have significant positive economic effect on Northeast BC. They also demonstrate the need for TKS to develop close business and employment relationships with affected First Nations in order to exploit the associated contracting opportunities. Enbridge’s proposed Northern Gateway Pipeline follows roughly the same corridors as the LNG projects referred to earlier. Again, the potential contract values for medical, safety and security services are in the millions of dollars. Potential TKS work on the Kinder Morgan Pine Mountain Pipeline could extend the Company’s reach deep into Southwestern BC. The potential for new wind farms in Northern BC extends beyond the currently approved new projects yet to be built. Based on public and government will, BC Hydro intends to continue encouraging privately developed wind energy for sale into the international power grid.
Seller Financing Description: • Current owners may be willing to finance existing shareholder loans over a short period. • Shareholder loans can be partially repaid through the transfer of selected assets of the Company. • The CO-OP share account (long-term asset) can be excluded from the sale if Purchaser prefers. • Long-term investment asset is a CO-OP share account that the current owners are willing to include within the sale or not, depending on Purchaser’s preference. • Some shareholder debt can be paid by transferring Company vehicles and equipment at fair market value in lieu of cash, with the shareholder(s) paying applicable taxes to the Company. • Equipment & furniture will be offered at 80% of the estimated replacement cost, which is substantiated by current market prices. • The Company is willing to consider all reasonable offers and dates of ownership transfer.
